RoboGrant9000 — Terms of Service

Effective date: June 1, 2026 Version: 1.0 Applies to: https://robogrant9000.com Questions: support@robogrant9000.com

Plain-language summary

This summary is here to help you read the Terms. It is not the agreement — the numbered sections below are.

  • RoboGrant9000 is an AI-assisted grant research and writing service for Canadian nonprofits and charities. It is a tool for your team, not a replacement for it: your organization reviews, approves, and submits every application, and is responsible for what it submits.
  • We never guarantee that you will win funding.
  • The subscription is CA$2,000 per month for your organization, including one seat, plus CA$500 per month for each additional seat, with a 12-month minimum commitment, billed monthly. You can cancel after the 12 months; cancellation takes effect at the end of the billing period you have already paid for.
  • Your data is yours. The drafts the service produces for you are yours. Our platform, templates, and knowledge base are ours.
  • If something goes wrong, our financial responsibility to you is capped (see Section 15), and there are things — like lost funding opportunities — that we are not responsible for.

1. Who this agreement is between

These Terms of Service (the "Terms") are an agreement between:

  • CHUDAK INC. o/a RoboGrant9000, a corporation incorporated in Ontario, Canada, with a registered office at 2300 Yonge Street, Suite 1600, Toronto, Ontario M4P 1E4, the company that operates RoboGrant9000 ("we", "us", "CHUDAK INC.", or "RoboGrant9000"); and
  • the nonprofit organization, registered charity, or other entity that subscribes to the Service (the "Organization", "you", or "your").

RoboGrant9000 is a business-to-business service. We do not offer it to individuals acting on their own behalf. Every person who uses the Service (defined in Section 2) does so on behalf of an Organization.

Authority to bind. By creating an account, completing signup, or using the Service on behalf of an Organization, you confirm that you have the authority to accept these Terms for that Organization, and the Organization is bound by them. Everyone the Organization gives access to (every seat holder, and the billing admin) must follow these Terms, and the Organization is responsible for their use of the service.

2. What the service is — and what it is not

The service. RoboGrant9000 (the "Service") is a software platform that helps Canadian nonprofits find and pursue grant funding. It includes, as available from time to time: AI-assisted research on your organization and on funding opportunities; discovery and fit-scoring of grant opportunities; AI-assisted drafting of grant applications and related documents; a funding tracker; document upload and analysis; and a chat workspace for refining drafts and research.

The service is assistive, not autonomous. The Service produces research and drafts for your team to work from. It does not submit anything to any funder, and it is not designed to be used without human review. You agree that:

  • (a) a person at your Organization will review, edit where needed, and approve every draft, figure, and claim before it is used in any application or other submission;
  • (b) your Organization — not RoboGrant9000 — signs and submits every application, and is solely responsible for the accuracy, completeness, and truthfulness of everything it submits to a funder or anyone else; and
  • (c) your Organization is responsible for checking and complying with each funder's own rules, including any funder policy on the use of AI in preparing applications (some funders restrict AI-assisted writing or require that it be disclosed).

No guarantee of funding. We do not promise, and nothing in the Service should be read as promising, that any application will succeed, that any funder will respond, or that your Organization will receive any amount of funding. Fit scores, eligibility assessments, and similar features are estimates meant to help you prioritize — they are not predictions or guarantees.

Not professional advice. The Service does not provide legal, financial, accounting, tax, or other professional advice. Content in the Service that touches on compliance topics (for example, charity law or fundraising rules) is general information. Where it matters, confirm with a qualified professional.

3. Accounts and seats

Signup. Your Organization subscribes through self-serve signup at robogrant9000.com. You must provide accurate information about your Organization and keep it current.

The billing admin. Each Organization has at least one billing admin — the person who manages the subscription, the seat count, and the seat list, and who is our contact for billing matters. A billing admin does not have access to the working portal (research, drafting, tracking, chat) unless they also hold a seat.

Seats. Access to the portal is licensed per seat. The base subscription includes one seat; the billing admin can add or remove additional seats at any time (see Section 5). Each seat:

  • belongs to one named individual at (or working for) your Organization, identified by their email address;
  • must not be shared — no shared logins, no rotating a seat among several people day to day, and no passing credentials around. If someone leaves, the billing admin can reassign their seat to a replacement;
  • may be revoked by the billing admin at any time.

Account security. Your Organization is responsible for keeping its accounts secure — choosing appropriate sign-in methods, protecting credentials, and removing access promptly when someone leaves. Tell us at support@robogrant9000.com right away if you suspect an account has been compromised.

4. Fees and the 12-month minimum commitment

Pricing. The subscription is:

  • CA$2,000 per month per Organization, which includes one seat; plus
  • CA$500 per month for each additional seat.

All prices are in Canadian dollars and exclude applicable taxes (Section 7). We may offer promotional codes, pilots, or other special pricing; if we agree to special terms with your Organization in writing, those terms apply to the extent they differ from this section.

12-month minimum commitment, billed monthly. The subscription has a minimum term of 12 months, starting on the day your subscription is first created at checkout. You are billed monthly, but you are committing to the full 12 months: the monthly fees for the entire minimum term are payable even if you stop using the Service, and the subscription cannot be cancelled before the minimum term ends (Section 5). If your subscription ends and your Organization later re-subscribes, the new subscription starts a fresh 12-month minimum term.

The commitment is enforced by the Service refusing cancellation during the minimum term; there is no separate early-termination fee, acceleration, or buy-out mechanic. The monthly fees for the full minimum term remain payable on the monthly schedule even if your Organization stops using the Service.

After the minimum term. After the 12-month minimum term, the subscription continues month to month at the then-current pricing until cancelled under Section 5.

Price changes. We will not raise your Organization's subscription price during the 12-month minimum term. After that, we may change pricing with at least 30 days' written notice; the change takes effect at your next monthly billing date after the notice period. If you do not accept a price increase, you may cancel under Section 5 before it takes effect.

5. Cancellation, seat changes, and what happens when you stop paying

Cancelling the subscription. The billing admin can cancel through the billing settings in the Service. Cancellation works like this:

  • During the 12-month minimum term: the subscription cannot be cancelled. A cancellation request made during the minimum term will be refused, and the fees for the rest of the term remain payable as set out in Section 4. If our records of your commitment term are incomplete, cancellation is paused until we resolve it with you — contact support@robogrant9000.com.
  • After the minimum term: cancellation is scheduled, not immediate. The subscription remains active until the end of the monthly billing period you have already paid for, and ends then. We do not give refunds or credits for the remainder of a billing period.

Adding and removing seats. The billing admin can change the number of additional seats at any time, including during the minimum term. Seat changes are prorated on your next invoice. You cannot reduce the seat count below the number of seats currently assigned — unassign a seat first, then reduce.

Only the base subscription is bound by the 12-month minimum commitment. Additional seats can be added or removed at any time, including during the minimum term, and added seats do not each carry their own 12-month term.

Late or failed payments. If a payment fails, we may suspend access to the Service (including the portal, exports, and uploads) until the account is brought current. Suspension does not pause the subscription or the minimum term, and fees continue to accrue. We do not delete your data because of a suspension.

If the subscription ends for non-payment. If payment failures are not resolved and the subscription is cancelled as a result, your Organization's access ends and all seats are revoked. Amounts owing for the minimum term remain payable. Your data is handled as described in Section 17.

6. Payment

Payments are processed by Stripe, our payment processor. By subscribing, you authorize us (through Stripe) to charge your Organization's payment method monthly for the subscription, seat fees, prorations, and applicable taxes. You agree to keep a valid payment method on file for the life of the subscription. Stripe's own terms and privacy policy apply to its processing of your payment information; we do not store full payment card details ourselves.

7. Taxes

Our fees do not include taxes. Your Organization is responsible for GST/HST/QST and any other applicable sales taxes, duties, or government charges on its subscription, except taxes on our income. Where we are required to collect tax, it will be added to your invoice.

8. Acceptable use

Your Organization and its users must not:

  • use the Service for anything unlawful, or to prepare applications or other materials that are deliberately false or misleading;
  • try to access another organization's data, probe or get around the Service's security or access controls, or test its isolation boundaries without our written permission;
  • share seats or credentials (Section 3);
  • resell the Service, offer it as a service bureau, or use one Organization's subscription to do grant work for other organizations — each nonprofit needs its own subscription. (Consultants and fractional staff may hold a seat on a client Organization's subscription to work for that Organization.);
  • copy, scrape, or systematically extract the Service's content, knowledge base, or research catalogue for use outside the Service, or use the Service or its outputs to build a competing product;
  • reverse engineer the Service, except to the extent a law gives you that right despite this clause;
  • upload malicious code, or use the Service in a way that places an unreasonable load on it or interferes with other customers.

We may suspend access where we reasonably believe this section is being violated, and we will tell you why unless the law prevents us.

9. Your data

You own your data. As between you and us, your Organization owns all data it provides to the Service — organizational details, intake information, uploaded documents, notes, chat messages, and anything else your team puts in (together, "Customer Data").

Our licence to your data. You give us a limited, non-exclusive licence to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve the Service for your Organization and to meet our legal obligations. This includes processing by the subprocessors described in our Privacy Policy (for example, AI processing and document storage). To be clear about the limits: we do not sell Customer Data; we do not use it to market to anyone; we do not use one Organization's Customer Data to serve another Organization; and we do not use Customer Data to train AI models — our agreements with our AI providers do not permit them to use it for training either (see the Privacy Policy).

Your responsibility for what you upload. Only upload what your Organization has the right to share. If documents contain personal information about other people — staff, clients, donors — your Organization confirms it has the authority and any consents needed to provide that information to us for processing as part of the Service.

Your responsibility for accuracy. The Service's research and drafts are built in part from what you give it. You are responsible for the accuracy of Customer Data.

10. AI outputs

You own your outputs. As between you and us, your Organization owns the drafts, research summaries, and other content the Service generates for it ("Outputs"), once delivered. Because AI systems can generate similar text for different users, we cannot promise that Outputs are unique to you, and ownership of your Outputs does not stop the Service from generating similar content for other customers from their own data.

Verify before you rely. AI-generated content can be wrong, incomplete, or out of date, even when it reads confidently. The Service is built to help you check it — statistics carry citations with sources, quotes, and retrieval dates; evidence is labelled as verified or pending verification; and claims the system could not support are flagged to you as unresolved claims rather than silently included. You agree that:

  • your team will resolve every flagged unresolved claim — by verifying it, rewriting it, or removing it — before using a draft in any submission;
  • you will treat "verification pending" labels as exactly that, and check the underlying sources where it matters; and
  • you will not represent AI-generated content as independently verified fact unless your team has actually verified it.

Funder AI policies. As set out in Section 2, it is your Organization's responsibility to check whether each funder restricts or requires disclosure of AI-assisted writing, and to comply.

11. Our intellectual property

We own the Service: the software, platform, design, templates, prompts, knowledge base, research catalogue and opportunity database, documentation, and everything else that makes RoboGrant9000 run — including improvements we make over time. Nothing in these Terms transfers any of that to you. You get a right to use the Service while your subscription is active, and that's all you need. Feedback you choose to give us about the Service may be used by us without restriction or payment, but we will not name your Organization publicly without permission (see also Section 12).

12. Confidentiality

Each of us may learn confidential information about the other — for you, that includes Customer Data and your Organization's plans and finances; for us, that includes non-public information about how the Service works and our commercial terms with you.

Each party will: use the other's confidential information only for purposes of this agreement; protect it with at least reasonable care; and not disclose it to anyone except employees, contractors, and service providers who need it and are bound by comparable confidentiality obligations.

These obligations do not apply to information that is or becomes public through no fault of the recipient, was already lawfully known, is independently developed, or must be disclosed by law (with notice to the other party where lawful). Confidentiality obligations continue for five years after the agreement ends; for Customer Data, they continue for as long as we hold it.

We will not use your Organization's name or logo in marketing without your written consent.

13. Privacy

Our collection, use, disclosure, and retention of personal information is described in the RoboGrant9000 Privacy Policy (published at robogrant9000.com), which forms part of these Terms. In brief: we comply with the Personal Information Protection and Electronic Documents Act (PIPEDA); Customer Data is stored in Canada; some processing — including AI processing, authentication, payments, and hosting — is performed by service providers outside Canada, as described in the Privacy Policy; and our staff may access your Organization's data on a need-to-know basis to provision, support, and quality-check the Service. Privacy questions and requests go to support@robogrant9000.com.

14. Warranties and disclaimers

What we promise. We will provide the Service with reasonable skill and care, and we will not materially reduce the core functionality of the Service during your paid term.

What we don't promise. Except for the paragraph above, the Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. In particular, we do not warrant that:

  • the Service will be uninterrupted or error-free;
  • AI-generated research, drafts, citations, fit scores, or eligibility assessments will be accurate, complete, or current (see Section 10 — human review is part of the design, not optional); or
  • your Organization will obtain any funding or any funder response (Section 2).

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Limits on liability

The cap. To the maximum extent permitted by law, each party's total aggregate liability to the other for all claims arising out of or relating to these Terms or the Service — whether in contract, tort (including negligence), or otherwise — is limited to the total fees paid or payable by your Organization for the Service in the 12 months before the event giving rise to the claim. This cap applies in the aggregate across all claims, is mutual, and is not increased by a floor or minimum amount.

Excluded damages. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost funding or grants, lost opportunities, loss of goodwill, or loss of data (other than our obligation to handle Customer Data as these Terms and the Privacy Policy require) — even if advised such damages were possible. For clarity: a grant application that fails, misses a deadline, or is rejected — for any reason — is not something we are liable for.

Carve-outs. The cap and exclusions above do not apply to: your Organization's obligation to pay fees owing (including the minimum-term commitment); either party's indemnity obligations under Section 16; or liability arising from a party's fraud or wilful misconduct.

16. Indemnities

Ours to you. We will defend your Organization against any third-party claim that the Service itself (excluding Customer Data and Outputs based on Customer Data) infringes that third party's copyright, trademark, or trade secret, and we will pay damages finally awarded or settlements we agree to. This does not cover claims arising from Customer Data, from your use of the Service in breach of these Terms, or from combining the Service with things we did not provide. If an infringement claim arises, we may modify the Service, replace the affected part, or — if neither is practical — end your subscription, release you from the remainder of the commitment, and refund prepaid unused fees.

Yours to us. Your Organization will defend us against any third-party claim arising from: (a) Customer Data, including claims that you lacked the rights or consents needed to provide it (Section 9); (b) anything your Organization submits to a funder or other third party, including submissions that use Outputs; or (c) your Organization's use of the Service in violation of law or Section 8 — and you will pay damages finally awarded or settlements you agree to.

Our IP indemnity is scoped to the Service and platform and covers third-party copyright, trademark, and trade-secret claims only; it does not extend to patents, and it does not cover Customer Data or Outputs based on Customer Data. Both indemnities in this Section 16 sit outside the Section 15 cap.

Process. The indemnified party must promptly notify the other of the claim, let the indemnifying party control the defence and settlement (no settlement that admits fault on the indemnified party's behalf without its consent), and reasonably cooperate.

17. Term, suspension, and termination

Term. These Terms apply from your Organization's signup and continue while it has a subscription (including any suspension period).

Termination by you. Cancellation works as described in Section 5 — after the 12-month minimum term, effective at the end of the paid-up billing period.

Termination by us for cause. We may terminate (or suspend, where proportionate) your Organization's subscription if: (a) your Organization materially breaches these Terms and does not fix the breach within 30 days of written notice; (b) the breach is of Section 8 (acceptable use) and is serious enough that immediate action is reasonably necessary; (c) fees remain unpaid as described in Section 5; or (d) your Organization becomes insolvent, is dissolved, or ceases operating. Termination for cause does not release fees owing, including the remainder of the minimum-term commitment.

Termination by us without cause. We may terminate your Organization's subscription without cause on at least 60 days' written notice. If we do, we will refund any prepaid unused fees and your Organization is released from the remainder of the minimum-term commitment from the termination date.

Your data after the end. For 30 days after the subscription ends, the billing admin can ask us at support@robogrant9000.com for an export of the Organization's Customer Data and Outputs in reasonable, common formats, and we will provide it. Your data is not deleted automatically when the subscription ends: after the export window, we will delete the Organization's data on the billing admin's verified request, within the period and with the exceptions (such as billing and tax records we must keep) described in the Privacy Policy. Until deleted, it stays protected as the Privacy Policy describes. We aim to complete deletion within 30 days of a verified request, aligned with Privacy Policy §10.

Survival. Sections that by their nature should outlive the agreement do — including fees owing, confidentiality, data and IP ownership, disclaimers, limits on liability, indemnities, and governing law.

18. Changes to the Service and to these Terms

The Service. We improve the Service continuously and may add, change, or retire features. We will not materially reduce the Service's core functionality during your paid term.

These Terms. We may update these Terms from time to time. For material changes, we will give the billing admin at least 30 days' written notice (by email or in the Service) before the change takes effect. If a material change is adverse to your Organization and you object in writing before it takes effect, the prior terms continue to apply until the end of your then-current minimum term or, if the minimum term has passed, your next monthly renewal. Continuing to use the Service after a change takes effect means the Organization accepts it.

19. Force majeure

Neither party is responsible for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control — including internet or utility failures, failures of third-party platforms we reasonably depend on, labour disruption, fire, flood, epidemics, war, or government action — provided the affected party uses reasonable efforts to work around the event and resumes performance when it ends.

20. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party submits to that jurisdiction. Before starting a proceeding, the parties will attempt in good faith to resolve the dispute through discussion between senior representatives for at least 30 days (except where urgent relief is needed).

21. General

  • Entire agreement. These Terms, the Privacy Policy, and any written order, pilot, or special-pricing terms we agree to with your Organization are the entire agreement between us about the Service, and replace all earlier discussions. If a signed agreement with your Organization conflicts with these Terms, the signed agreement wins.
  • Assignment. Neither party may assign this agreement without the other's written consent, except that either party may assign it to a successor in a merger, amalgamation, reorganization, or sale of substantially all assets, with notice.
  • Notices. Notices to us go to support@robogrant9000.com. Notices to your Organization go to the billing admin's email address on file or are posted in the Service. Keep the billing admin's email current.
  • Severability. If part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part is replaced with an enforceable term that comes closest to the original intent.
  • No waiver. Not enforcing a term is not a waiver of it.
  • Independent parties. We are independent contractors. These Terms do not create a partnership, agency, or employment relationship.
  • Language. These Terms are drafted in English at the express request of the parties. A French-language version of these Terms will be made available to Québec organizations on request, and Québec Law 25 considerations apply to Québec customers and users.
